LLC formation

So when you go to legal zoom, you find out that they will keep charging you a fee or you can opt out of it. It is for a listing agent, which they say is required. So for those of you who use legal zoom, do you use them, or a lawyer or yourself?

They say you will get too much spam (physical mail) if you do yourself and you may not be able to tell if it is from a state agency or just spam for example. Wondering what others do? I know you can write it off as a business expense, but not sure it is needed to be kept by someone else? Tammy

Registered Agent

Tammy,

You are only required to have a registered agent if you are incorporated in a state that you don't have a physical address. E.g. you have a Nevada LLC but live in California.

If your company is in the same state you can use your home address. I can't comment on the amount of spam as I have a registered agent.

There are registered agent companies that are cheaper than Legal Zoom; but I use them for their great service and simplicity.

All corps and LLCs

require a statutory agent (registered agent) no matter where you live or where the entity is formed. But the statutory agent must reside in the state of the formation. Therefore, you can use yourself if you form an LLC in a state that you live.

LLC's

CAlifornia REQUIRES a specific tax FORM be used when filing your LLC taxes. If you do not use the correct form, they will still accpet your money but it will NOT be considered as "FILED". Several years down the road you will be hit with "late filing fees and late payment penatlites". Be sure to find a tax professional that understands this.
Once you file in CALIFORNIA with the correct form that triggers that same form to be required on the FEDERAL tax form as well. Make one mistake and it will take many letters and explanations and late fees to correct it.

LLC's and Registered Agents

I do not know about the laws for Arkansas in particular, but most states require a Registered Agent for the LLC other than yourself. It can be a family member or a valued trusted friend; certainly you could hire and pay a lawyer to be your Registered Agent for you if you so choose. Usually they must reside in the state of formation of the LLC (or other entity) and must have a physical address (i.e. no PO Boxes). Good luck.

I used my daughter for my registered agent only because I will be moving and if I had to change my address, there would be an additional filing fee to change the Articles of Organization. I just received mine back today and the following paragraph was taken from my guide book.

What Does a Registered Agent Do? A registered agent is a person that is authorized to accept delivery of any legal documents on behalf of your company. The purpose of a registered agent is to provide a legal address so these important documents can be delivered properly. After the registered agent receives court notices, service of process, or other legal documents addressed to your company, the registered agent should forward these documents on to the designated contact at your company.

I was told by an associate of LegalZoom that it is good to have another person as a registered agent. But as Bill said, you can use yourself. Of course, if you use them (legalzoom), it's expensive.

So Tammy, any word yet on your LLC? Did you end up having them secure the EIN number for you or did you decide that you will go online and secure that yourself?? Just checking the status of things.....
